Terms of Service

The service StandardAnswer provides to you is subject to the following Terms of Service("TOS"), which may be updated without notice at any time. By accessing and/or using the StandardAnswer website ("Website") and the StandardAnswer service ("Service"), you signify that you have read, understand and agree to be bound to and abide by all terms and conditions of the "TOS" whether or not you are a member of StandardAnswer. You also acknowledge that you have read and reviewed the StandardAnswer Privacy Policy. We reserve the right, at our sole discretion, to change, modify, add, or delete portions of the TOS at any time without further notice. Your continued use of the Service or the Website after any such changes constitutes your acceptance of the new TOS. If you do not agree to abide by these or any future TOS, do not use or access (or continue to use or access) the Service or the Webite. It is your responsibility to regularly check the Website to determine if there have been changes to the TOS and to review such changes.

Eligibility

Membership in the Service is void where prohibited. This Website is intended solely for users who are eighteen (18) years of age or older. Any registration by, use of or access to the Site by anyone under 18, is unauthorized, unlicensed and in violation of the TOS. By using the Service or the Website, you represent and warrant that you are 18 or older and that you agree to and to abide by all of the terms and conditions of this Agreement.

Use by Members

The StandardAnswer Services are for the personal use of Members and may be used for promotional purposes as well, but direct commercial endeavors may only be used if they are specifically endorsed or authorized by StandardAnswer. StandardAnswer reserves the right to remove commercial content in its sole discretion. Illegal and/or unauthorized use of the StandardAnswer Services, including collecting usernames, user id numbers, and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorized framing of or linking to the StandardAnswer Website, or employing third party promotional sites or software to promote profiles for money, is prohibited. Commercial advertisements, affiliate links, and other forms of unauthorized solicitation may be removed from Member profiles without notice or explanation and may result in termination of Membership privileges. StandardAnswer reserves the right to take appropriate legal action for any illegal or unauthorized use of the StandardAnswer Services.
Proprietary Rights in Content on StandardAnswer

StandardAnswer does not claim any ownership rights in the information, text, files, images, photos, video, sounds, musical works, works of authorship, applications, or any other materials (collectively, "Content") that you post on or through the StandardAnswer Services. After posting your Content to the StandardAnswer Services, you continue to retain any such rights that you may have in your Content, subject to the limited license herein. By displaying or publishing ("posting") any Content on or through the StandardAnswer Services, you hereby grant to StandardAnswer a limited license to use, modify, delete from, add to, publicly perform, publicly display, reproduce, and distribute such Content solely on or through the StandardAnswer Services, including without limitation distributing part or all of the StandardAnswer Website in any media formats and through any media channels, except Content deemed private by the StandardAnswer Privacy Policy will not be distributed outside the StandardAnswer Website.

The license you grant to StandardAnswer is non-exclusive (meaning you are free to license your Content to anyone else in addition to StandardAnswer), fully-paid and royalty-free (meaning that StandardAnswer is not required to pay you for the use on the StandardAnswer Services of the Content that you post), sublicensable (so that StandardAnswer is able to use its affiliates, subcontractors and other partners such as Internet content delivery networks and wireless carriers to provide the StandardAnswer Services), and worldwide (because the Internet and the StandardAnswer Services are global in reach).

You represent and warrant that: (i) you own the Content posted by you on or through the StandardAnswer Services or otherwise have the right to grant the license set forth in this Agreement, and (ii) the posting of your Content on or through the StandardAnswer Services does not violate the privacy rights, publicity rights, copyrights, contract rights or any other rights of any person or entity. You agree to pay for all royalties, fees, and any other monies owing any person or entity by reason of any Content posted by you on or through the StandardAnswer Services.The StandardAnswer Services contain Content of StandardAnswer ("StandardAnswer Content"). StandardAnswer Content is protected by copyright, trademark, patent, trade secret and other laws, and StandardAnswer owns and retains all rights in the StandardAnswer Content and the StandardAnswer Services.

The StandardAnswer Services contain Content of Users and other StandardAnswer licensors. Except as provided within this Agreement, you may not copy, modify, translate, publish, broadcast, transmit, distribute, perform, display, or sell any Content appearing on or through the StandardAnswer Services.

Conditions

• We reserve the right to terminate your Service without notice at any time for any reason.
• You must be eighteen (18) years or older to register as a member of StandardAnswer or use the StandardAnswer web site.
• Our Service is a Venue. Our Service does not include the introduction of users to one another. Our Service is merely a venue for users to learn about one another. We are not involved in the actual contact between users. As a result, we have no control over the conduct of our users or the truth or accuracy of the information that users post on the Website.
• Because we do not control interactions among between members and other persons or companies, and because we cannot guarantee the true identity, age, nationality of Service users, and because we have very limited control, if any, over the quality, safety, morality, legality, truthfulness or accuracy of various aspects of the Service you agree that you bear all risk and you agree to release us (and our officers, directors, shareholders, agents, employees, affiliates, subsidiaries, and third party partners) from claims, demands, and damages (actual and consequential) of every kind and nature, known and unknown, suspected and unsuspected, disclosed and undisclosed, now and in the future, arising out of or in any way connected with your use of the Service, your Third Party Transactions, and/or our resolution of any disputes among users. You further waive any and all rights and benefits otherwise conferred by any statutory or non-statutory law of any jurisdiction that would purport to limit the scope of a release or waiver.
• StandardAnswer reserves the right to modify or terminate the Service at any time for any reason without notice.
• StandardAnswer is for personal use. Professional or commercial use of StandardAnswer is prohibited.
• StandardAnswer reserves the right to refuse service to anyone at any time and for any reason or no reason whatsoever.
• You agree that StandardAnswer has no responsibility or liability for the deletion or storage loss of photos, journal entries, reviews, messages, or comments("Content").
• Third-parties may license Content and Data posted on StandardAnswer.com Website. These licenses may be revoked at any time at the sole discretion of StandardAnswer.
• By posting Content and/or Data to any part of the StandardAnswer.com Website, you automatically grant, and you represent and warrant that you have the right to grant, to StandardAnswer an irrevocable, perpetual, non-exclusive, transferable, royalty-free, fully-paid, unrestricted, worldwide license to use, copy, perform, display, reformat, translate, distribute and otherwise utilize such Content and/or Data and to prepare derivative works of, or incorporate into other works, such Content and/or Data, and to grant and authorize sublicenses of the Content and/or Data solely on and through the StandardAnswer Service.

Member Conduct

• You are responsible for any activity that occurs under your username.
• You are responsible for the confidentiality of your password.
• You may not harass, threaten, impersonate or intimidate other StandardAnswer users.
• You may not upload, post, email, or transmit any content that you do not have the right or permission to do so.
• You are solely responsible for the content, and information that you transmit on StandardAnswer.
• You are not allowed to transmit any worms, trojans, or viruses.
• You are not allowed to transmit any unwanted messages to any StandardAnswer members.
• You are not allowed to post or transmit any content that is obscene, vulgar, libelous, racist, harmful, or hateful.
• You are not allowed to post or transmit any content that is exploitive of anyone in a sexual or violent manner.
• You are not allowed to post or transmit any content that solicits personal information from anyone under 18 years of age.
• You are not allowed to post or transmit any content that poses or creates a privacy or security risk to any person.
• You are not allowed to post or transmit any content that you know is false or misleading or promotes illegal activities or conduct that is abusive, threatening, obscene, defamatory or libelous.
• You are not allowed to transmit or upload any form of unsolicited or unauthorized advertising.
• You are not allowed to use the Service or Website for any illegal or unauthorized purposes.
• International users agree to comply with their respective local laws regarding online conduct and acceptable content.
  
• Violation of any of these terms may result in the termination of your account.

Disclaimers

• The Service maybe be temporarily unavailable at any time for maintenance or other reasons.
• StandardAnswer is not responsible for any loss or damage, including but not limited to personal injury or death, resulting from the use of the Website, Content, or Service. StandardAnswer is not responsible for the conduct of Members or visitors to the site, either online or offline.
• StandardAnswer is not responsible for the content, accuracy, or opinions expressed in linked websites outgoing from the Website or in user created "Content".
• Inclusion of any linked websites on StandardAnswer does not imply approval or endorsement by StandardAnswer.
• StandardAnswer does not guarantee the accuracy, credibility, or quality of any Content posted on the Website.
• Opinions or ideas expressed in user created "Content" do not necessarily reflect the ideas or opinions of StandardAnswer LLC, Inc.
• StandardAnswer does not permit copyright infringing activities and will remove user submitted "Content" if properly notified that such "Content" infringes on another's intellectual property rights.

Indemnity

You agree to indemnify and hold StandardAnswer, its subsidiaries, affiliates, officers, agents, partners, and its employees harmless from any claim, loss, liability, or demand, including any reasonable attorney's fees made by any third party due to or arising out of your Content that you have transmitted or uploaded to StandardAnswer, or through use of the Service, your violation of the TOS, or your violation of any rights of another user.

Limitation on Liability.

IN NO EVENT SHALL STANDARDANSWER BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL OR PUNITIVE DAMAGES, INCLUDING LOST PROFIT DAMAGES ARISING FROM YOUR USE OF THE STANDARDANSWER SERVICES, EVEN IF STANDARDANSWER HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, STANDARDANSWER'S LIABILITY TO YOU FOR ANY CAUSE WHATSOEVER AND REGARDLESS OF THE FORM OF THE ACTION, WILL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID, IF ANY, BY YOU TO STANDARDANSWER FOR THE STANDARDANSWER SERVICES DURING THE TERM OF MEMBERSHIP.

Disputes.

The Agreement shall be governed by, and construed in accordance with, the laws of the State of Texas, without regard to its conflict of law provisions. You and StandardAnswer agree to submit to the exclusive jurisdiction of the courts located within Travis County in the State of Texas to resolve any dispute arising out of the Agreement or the StandardAnswer Services. EACH OF THE PARTIES HEREBY KNOWINGLY, VOLUNTARILY AND INTENTIONALLY WAIVES ANY RIGHT IT MAY HAVE TO A TRIAL BY JURY IN RESPECT OF ANY LITIGATION (INCLUDING BUT NOT LIMITED TO ANY CLAIMS, COUNTERCLAIMS, CROSS-CLAIMS, OR THIRD PARTY CLAIMS) ARISING OUT OF, UNDER OR IN CONNECTION WITH THIS AGREEMENT. FURTHER, EACH PARTY HERETO CERTIFIES THAT NO REPRESENTATIVE OR AGENT OF EITHER PARTY HAS REPRESENTED, EXPRESSLY OR OTHERWISE, THAT SUCH PARTY WOULD NOT IN THE EVENT OF SUCH LITIGATION, SEEK TO ENFORCE THIS WAIVER OF RIGHT TO JURY TRIAL PROVISION. EACH OF THE PARTIES ACKNOWLEDGES THAT THIS SECTION IS A MATERIAL INDUCEMENT FOR THE OTHER PARTY ENTERING INTO THIS AGREEMENT.
